1. Service Description

SaaSutopia ("the Service," "we," "us," or "our") provides an AI-powered platform that enables users to build, generate, and deploy digital content, including websites, workflows, automations, and business tools. The Service is operated by SaaSutopia and accessible at saasutopia.com and related domains.

2. Acceptance of Terms

By accessing or using the Service, you ("User," "you," or "your") agree to be bound by these Terms of Service. If you do not agree, you must not access or use the Service.

We reserve the right to update these Terms at any time. Continued use after changes constitutes acceptance.

3. Accounts

You are responsible for maintaining the security of your account and all activities under it. You must provide accurate information during registration and keep it current.

The Service operates on a prepaid and usage-based model.

• Users may be charged based on AI usage either: (a) at defined time intervals (e.g., every 24 hours), or (b) upon reaching a usage threshold (e.g., $50), whichever occurs first.
• Charges may be triggered automatically based on usage thresholds or time intervals, whichever occurs first. Users acknowledge and agree that billing may occur without manual confirmation once these conditions are met.
• By using the Service, you acknowledge that usage-based billing is active and may result in multiple charges within a billing period.
• Users may also purchase monthly subscription plans, which are billed in advance and renew automatically unless canceled before the renewal date.
• Additional usage may require purchasing add-ons, credits, or credit packs. Credit packs include bonus credits as specified at the time of purchase.
• Credits represent prepaid usage credits and have no cash value. All credit purchases are final and non-refundable.
• All payments are final and non-refundable unless required by applicable law.
• We reserve the right to modify pricing, billing intervals, or usage thresholds at any time with reasonable notice.
• Automatic billing is usage-based and charged based on actual AI resource consumption. Users must acknowledge automatic billing terms before enabling this feature.
• Users agree not to initiate chargebacks for valid usage-based charges. In the event of a dispute, usage logs and system records shall be considered definitive proof of service consumption.

Users may create and publish content using the Service. By publishing content, you are solely responsible for ensuring that such content complies with all applicable laws and does not infringe on any third-party rights.

We do not review or approve content prior to publication and are not responsible for user-generated content. We reserve the right to remove content that violates these Terms or applicable law.

You retain ownership of content you create, subject to any licenses granted herein. By using the Service, you grant us a limited license to host, display, and transmit your content solely for the purpose of operating the Service.

You agree not to use the Service to:

• Generate or distribute illegal, harmful, or deceptive content
• Violate intellectual property rights of any third party
• Create content intended to mislead, defraud, or impersonate others
• Attempt to exploit, probe, or reverse engineer the platform
• Use the Service in a manner that could harm system integrity or other users
• Engage in automated scraping, data mining, or excessive API usage beyond your plan limits
• Create accounts for the purpose of abusing referral programs, promotions, or free credits

Violation of acceptable use may result in immediate account suspension or termination without refund.

8. Spending Controls & Trust Layer

The Service provides optional spending controls including session limits, daily limits, per-action limits, cost previews, and Safe Mode. These are provided as convenience tools and are not a guarantee against unexpected charges.

Users are responsible for configuring their spending controls appropriately. Default limits are set but may not be suitable for all use cases.

The Service may integrate with third-party providers including but not limited to:

• Payment processors (Stripe)
• Hosting and security providers (Cloudflare)
• AI model providers
• Email delivery services

We are not responsible for the performance, availability, or actions of third-party services. Your use of third-party services may be subject to their respective terms and policies.

You agree to indemnify, defend, and hold harmless SaaSutopia, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your content, or your violation of these Terms.

We may suspend or terminate access at any time without prior notice if we believe you have violated these Terms or pose a risk to the platform or other users.

You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately. Any unused credits or prepaid amounts are non-refundable upon voluntary termination.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or class action.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
